“ Each indictment charged violation of the Sherman Law arising out of the manufacturer's affiliation with a finance company and its employment of certain trade practices. Chrysler was prepared to consent to a decree prohibiting it from affiliation with any finance company, in addition to its acceptance of restraints against alleged illegal trade practices, provided, however, that the Government succeeded in obtaining similar relief against General Motors. ”

“ A week later the present proceedings were begun for a further extension. The effect of the modification sought by the Government and granted by the court below was to extend until January 1, 1943, the restrictions upon Chrysler's freedom of action which were not imposed upon its principal rival. ”

“ Instead of exacting such proof from the Government, the District Court cast upon Chrysler the duty of showing that it would not be prejudiced if the fetters remained after the period fixed by the decree. He who seeks relief from equity has the burden of showing that he is entitled to it. It is unfair to cast upon Chrysler the burden of proving that it would not be harmed if the Government got what it wanted. ”

“ Smith, Commissioner of Insurance, and Chrysler Sales Corporation v. Smith, were begun about the same time as the Ohio case. The Clark Motor Company described itself as a distributor, buying cars from the Chrysler Sales Company and selling them to retail dealers, known as dealers. Neither distributor nor dealer acts as agent for the Chrysler Sales Company, but each buys and sells on its own behalf. The position of the Chrysler Sales Company, the other plaintiff, has been described. The Commissioner of Insurance treats the sales as contravening statutes of Wisconsin similar to those of Ohio. ”

“ Obviously, it was an essential feature of the consent decree against Chrysler that the prohibition of affiliation with the finance company should result in this great competitive disadvantage only long enough to enable the Government to press its claim against General Motors to successful conclusion with all reasonable speed. ”

“ In the spring of 1938 the Government instituted criminal proceedings against the three leading automobile manufacturers, Chrysler, Ford, and General Motors. For present purposes Ford may be disregarded. ”

“ Nothing in paragraph 12 gave, or even purported to give, Chrysler any immunity from the anti-trust laws after January 1, 1941. Therefore, if the decree were not modified, it would not mean that the Government would be powerless to proceed against Chrysler if the latter resumed the activities forbidden by the decree. The Government would still be free to take any action it might have taken before Chrysler consented to the decree against it.
A court of equity is not just an umpire between two litigants. In a very special sense, the public interest is in its keeping as the conscience of the law. ”

“ At the time the decrees were entered, Ford made and sold about 25% of all cars in the United States, Chrysler 25% and General Motors 44%. Ford and the others sell to dealers about four billion dollars' worth of cars yearly, requiring cash on delivery. The dealers then sell to retail customers. About 60% of the retail sales are on credit. Dealers not permitted to sell other makes of cars are wholly dependent upon Ford's, G.M.'s or Chrysler's favorable treatment for their business lives. ”

“ General Motors then sought a further extension of time to answer the amended complaint, urging that the civil suit should be postponed pending a final determination of the criminal case and that it was about to petition for a writ of certiorari in the criminal case. The government refused to agree to an extension, stating that any further delay might prejudice the government in connection with its consent decree against Chrysler. The District Court nevertheless entered an order for an indefinite extension of the time in which General Motors might answer the amended complaint. ”

“ Much talk about refined distinctions in the court's charge in the General Motors case cannot create doubts as to the effect of the decision today. The result will be destruction of competition in automobile financing. Hereafter dealers and retail purchasers cannot depend on competition to keep interest rates at a fair level. Their sole hope for low interest rates and loans on liberal terms will be the spontaneous generosity of Ford, General Motors, and Chrysler. It may be that monopoly in automobile loans is a good thing, but the anti-trust laws assume that competition is better. ”

“ The District Court found 'that the government has proceeded diligently and expeditiously in its suit to divorce General Motors Acceptance Corporation from General Motors Corporation.' There is room for argument that this statement is markedly generous to the government, inasmuch as the civil suit against General Motors was not instituted until almost two years after the entry of the consent decree and only three months prior to the limiting date in paragraph 12. ”

“ We anticipate that later today the administration will receive the reports that Congress requires detailing restructuring plans for both of Chrysler and GM. And obviously the administration looks forward to analyzing them, understanding that the auto companies represent a huge part of our manufacturing base, and to have a strong and viable auto industry is tremendously important for the future. ”

“ I got the same sense when I went to Bonneville and Son, a Chrysler dealership in Manchester, New Hampshire a couple days ago. 85 employees came out, stood out there in the lot with me. 85 people. All of whom knew and said, had Chrysler liquidated, had we not helped them, they wouldn’t have a job.
When President Obama and I came into office, we faced an auto industry on the brink of extinction. Total collapse. At the time, many people thought the President should just let GM and Chrysler go under. They didn’t think the automobile industry was essential to America’s future. ”

“ Here were concentrated the efforts of Grandmoulin to cajole and Picault to buy.
Once thus Chrysler met Libergent driving Grandmoulin in a "buck-board," while another person sat in the back seat.
"Chrysler! Chrysler!—Listen!" exclaimed the person in the back seat.
Chrysler recognized an Ottawa acquaintance.
"De Bleury! how do you do!"
De Bleury put his hand on the reins to stop the vehicle:
"Come up here, Chrysler, we go past the Manoir."
"Thank you, I enjoy walking."
"Come along, come along; we don't hear excuses in the country. Come,
Chrysler, the road is long." ”

“ And three years later, the American auto industry is back.
Today, GM is the number one automaker in the world. Chrysler is growing faster in America than any other car company. Ford is investing billions in American plants and factories, and plans to bring thousands of jobs back home. All told, the entire industry has added more than 200,000 new jobs over the past two and a half years. ”

“ A half-haze, precursive of the twilight, lent scenic softness to the forms of old men puffing their pipes before the doors, a maiden listlessly strolling on the sward, a swarm of children playing near the road, a distant toiler making his way home, bearing his scythe. The visitors went down into the place and Chrysler saw that the artistic shapes and ideal colors were worn with daily use, the men and women, serene-looking, were still the every day mortals of the region. ”

“ But there is no reason why it should-the Government has not shown that sellers normally sell to all members of an industry in the same proportion. In any event, the record fully explains the disproportion. Since 1930, du Pont's sales to other members of the industry have proportionately declined, largely because Ford has chosen to make the major share of its requirements of paint and fabrics, and because Chrysler has followed the policy of selecting a single supplier to whom it can be the most important customer. ”

“ Chrysler has added a second shift at the Jefferson North plant in Detroit that I visited last year. GM is adding a third shift at its Hamtramck plant for the first time ever. And GM plans to hire back all of the workers they had to lay off during the recession.
That’s remarkable when you think about where we were just a couple of years ago. When I took office, we were facing the worst recession since the Great Depression – a recession that hit our auto industry particularly hard. ”

“ And he certainly wasn’t going to abandon an industry that had meant so much to our economy, and so much to so many for so long.
So, he said if GM and Chrysler, and their management, and all their shareholders were willing to do the difficult work of making themselves more competitive, we would support giving them another chance. And because of what we did, the auto industry is rising again. Manufacturing is coming back. And our economy is recovering and it’s gaining traction. ”

“ Chamilly turned to Chrysler as the school master ended, and said with a smile: "Do you not think there is enterprise in a people like this?"
CHAPTER XVIII. A DISAPPEARING ORDER. "Qu'il est triste d'etre vaincu!—"
—DU CALVET. From Quinet who had been deliberately dealing with his dessert, now came words:
"Mistaken impulses! Led after will o' the wisps by dreamers and designers! If it were not that all movements work but one way, like the backward and forward of a machine—towards advancement, these things would make a man despond."
"What then, sir," Chrysler asked, "are your ideas?" ”

“ Chrysler."
Chrysler put forth his hand willingly, and withdrawing one, held it to the window and read as follows:
"A great thought can be thought in any place. A great Empire may be planned in any corner."
The second was a note from "GENERAL NEEDS."
"What the country most requires is Devoted Men."
Others read similarly, some long, some short.
"I can show you what will strike you more," exclaimed Chamilly, in a moment. "I have been planning your visit a little."
"Have you a geyser or a catacomb?"
"No sir,—a fountain of life," replied he, jocosely. "Let us get our hats." ”

“ When he rose to go, calm and rested, the hospitality again became profuse. "The gentleman will not walk!" shrilly protested highly-pleased mater familias. "Go François," turning to young Le Brun: "row Monsieur to the Manoir, you and Mr. Cuiller. Take the rose chaloupe, and Josephte shall go too."
Chrysler made a very admirable guest. He would have struck you as a fine, large man, of kindly face, and influential manner, and people pressed upon him their best wherever he went. "You speak our tongue, sir," said the grandfather, "That is a great thing. ”

“ First, we want to help bring down the price of high-efficiency cars for every American. Earlier this month, Ford, GM, and Chrysler unveiled prototypes of advanced-technology cars that get more than twice the mileage of today's models with no sacrifice in comfort, safety, or performance. ”

“ In auto shops the strip which frames the insides of your car's windows is called garnish molding. Screws hold it in place, and of course there must be holes for the screws. How many of those holes can reasonably be drilled in eight hours by Dodge assembly line men was the seed of the disagreement which last week made almost 45,000 Chrysler Corp. workers idle and payless. ”

“ Chevrolet, Pontiac, Oldsmobile and General Motors Parts are divisions of General Motors, but they operate substantially independently of each other. The corporation manufactures automobiles, trucks and other merchandise which are sold to dealers in Washington. However, all of these articles are manufactured in other States. In order to carry on the sale, in Washington, of the products of Chevrolet, Pontiac, Oldsmobile and General Motors Parts, the corporation maintains an organization of employees in each of these divisions on a national, regional and district level. ”

“ Yourself may be as dull as you like."
The stranger, nonchalantly, and half-defiantly, seated himself, after introduction. Chrysler scanned him curiously in recollection of the references to him in Haviland's Book of Enthusiasms, and recognized the strange red-brown scale of hues of hair, eyebrows and moustache, which gave character to his appearance; but the pale countenance was strong now, and tanned, though spare, and all the signs of former weakness had departed. ”

“ Though the unit for the Michigan strike vote cannot extend beyond the State's borders, the unit for which appellant union is the federally certified bargaining representative includes Chrysler plants in California and Indiana as well as Michigan. Chrysler Corp., 42 N.L.R.B. 1145 (1942) . Without question, the Michigan provision conflicts with the exercise of federally protected labor rights. A state statute so at war with federal law cannot survive. ”

“ Appellee Refiners holds certificates of public convenience and necessity from the Interstate Commerce Commission to operate as a common carrier, by motor vehicle, of gasoline and petroleum products in Pennsylvania and eight of the central states. Refiners, as the Commission found, is controlled through ownership of 82.6% of its outstanding common stock by Union Tank Car Company, a non-carrier corporation. ”
