Subscription

“ For more than half a century nearly all the great books were published by subscription; and the highest in literature felt no degradation in canvassing themselves with their "subscription receipts." It is easy to perceive, by the subscription prices, when the work was set on foot by an author, or his friends, simply as a more convenient mode of obtaining or bestowing money than begging or borrowing; and when there was a real market value given for the commodity offered. The scheme of levying contributions upon subscribers was as old as the days of Taylor, the Water Poet. ”

“ They often did so on a scandalously inadequate subscription. To remedy this abuse the Allotment of shares. In this case, we contend that payment has not yet been made; but if even in this we were wrong, still it does not appear that the payment alleged in the declaration was made 'at the time' of the subscription. ”

“ In considering what was necessary to complete a valid subscription, the cases of Nugent v. Supervisors, 19 Wall. 241, and County of Moultrie v. Savings Bank, 92 U.S. 631, were cited, and the rule upon that subject, as recognized in those cases, was in all respects approved. That rule may be stated thus: An actual manual subscription on the books of a railroad company is not indispensably necessary to bind a municipality as a subscriber to the capital stock. ”

“ As contracts for subscription to stock contain no stipulation with reference to the rights of creditors and depositors, it is clear that such rights can only be asserted upon the theory that the subscriber impliedly bound himself to respond to any liability arising indirectly from his contract of subscription. ”

“ SECTION 114 AND CORRESPONDING 112 PROCEEDINGS— `` (A) FOR ELIGIBLE NONSUBSCRIPTION SERVICES AND NEW SUBSCRIPTION SERVICES— Proceedings under this chapter shall be commenced as soon as practicable after the effective date of the Copyright Royalty and Distribution Reform Act of 2004 to determine reasonable terms and rates of royalty payments under sections 114 and 112 for the activities of eligible nonsubscription transmission services and new subscription services, to be effective for the period beginning on January 1, 2006, and ending on December 31, 2010. ”
